Constitutional documents
Three documents will govern the Foundation: what it is, how it stewards the standard, and on what
conditions a Hallmark may be displayed and withdrawn. They are in preparation and will be adopted on
incorporation.
What each document will govern
- Constitution
- The constitution of the Foundation on incorporation: its not-for-profit purpose, the protection of its assets, the composition and powers of the board, the weighting that prevents any single commercial interest holding a majority, and the conflict-of-interest rules.
- Trust deed for the standard
- Stewardship of the IDEA standard in the public interest, the seven-gate operational schedule, and the duties the Foundation owes in maintaining the standard and the Register.
- Hallmark Regulations
- Who may display the Hallmark and on what conditions, the obligations that attach to it, and the grounds and procedure for withdrawal or revocation. Summarised on the Hallmark Regulations page.
