The constitutional documents
The Foundation is governed by three documents. Together they fix what the institution is, how it stewards the standard, and on what conditions the Hallmark may be applied and withdrawn. Each is summarised below.
iWhat each document governs
- Articles of Association
- The constitution of the company itself: that it is limited by guarantee, the asset lock, the composition and powers of the Board, the weighting that prevents any single commercial interest holding a majority, and the conflict-of-interest regime.
- Trust Deed
- The stewardship of the IDEA Methodology in the public interest, the seven-gate operational escrow schedule, and the duties the Foundation owes in maintaining the standard and the Register.
- Hallmark Regulations
- Who may apply the Hallmark and on what conditions, the obligations that attach to it, and the grounds and procedure for its withdrawal. Summarised, with the full document, on the Hallmark Regulations page.
